The Terms also\n govern your interaction with Nuleep, Inc. websites and APPs,\n purchase of any Nuleep, Inc. services or merchandise, and\n participation in any Nuleep, Inc. live events and\n promotions.\n

\n \n Nuleep, Inc. constantly takes into account the importance of\n security and the importance of providing quality\n information. Nuleep, Inc. prohibits accessing accounts in an\n unauthorized manner, falsifying information, and sharing\n accounts. Nuleep, Inc. also prohibits attempts, altering, or\n interfering with the normal behavior or rules of Services.\n

\n \n You shall at all times comply with all applicable laws, and\n any rules/policies/procedures as provided by Nuleep, Inc. or\n any authorized third parties. You agree to comply to all\n policies within the APPs and Site.\n
\n\n Interactions with Other People
\n \n You agree to keep your password safe and secure. You agree\n that in conjunction with your use of the Services, you will\n maintain safe and appropriate contact with other users,\n other recruiters, and other people. You will not harass,\n threaten, or otherwise violate the legal rights of others.\n
\n\n Eligibility
\n \n The Services are not for use by anyone under the age of 16\n (sixteen). You must meet the Minimum Age requirement of 16\n (sixteen years of age) in order to use the Services, APPs,\n Platform, and Nuleep, Inc. products. All Services are not\n for use for anyone under the age of 16 (sixteen).\n
\n You agree to the following if you use the Services:
\n \n - \n You must be of minimum age or older (16 years of age or\n older).\n
\n - \n You will have only 1 (one) personal Nuleep, Inc. account\n which must be in your real name.\n
\n - \n You are not already restricted by Nuleep, Inc. from\n using the Services.\n
\n - \n Creating an account with false information is a\n violation of our terms including registering accounts on\n behalf of others.\n
\n - \n If the law requires that you must be older than the\n Minimum Age of 16 years old, then, the Minimum age is\n such older age as set by government/local law.\n
\n
\n\n Account Registration
\n \n To use Services, you will have to create an account with\n Nuleep, Inc. (an “Account”), and you will also need access\n to a supported mobile phone, laptop, and an Internet\n connection/hotspot. Please contact us to check for supported\n devices. You can create an Account using (a) an email/phone\n number.\n
\n \n You agree that you won’t disclose your Account password to\n anyone and that you will notify us immediately of any\n unauthorized usage of your Account. Nuleep, Inc. takes its\n account security obligations seriously; however, you are\n responsible for all activities that occur under your\n Account, whether or not, you know about them. You agree you\n are responsible for maintaining the confidentiality of your\n account and password and for restricting access to your\n phone, laptop, computer, and other relevant devices, and you\n agree to accept responsibility for all activities that occur\n under your account or password. You may not assign or\n otherwise transfer your account to any other person or\n entity. You acknowledge that Nuleep, Inc. is not responsible\n for third party access to your account that results from\n theft or misappropriation of your account. Nuleep, Inc. and\n its associates/third party providers reserve the right to\n refuse or cancel service, terminate accounts, or remove or\n edit content in our sole discretion.\n
\n \n If the Services is purchased by another party for you to use\n (ex. Recruiter account by Employer), the party paying for\n such Service has the right to control access to and get\n reports on your use of such paid Service; however, they do\n not have rights to your personal account.\n
\n User Conduct
\n \n You agree that you are responsible for your own actions and\n your own conduct and User Content.\n
\n Payment
\n \n You agree to honor your payment obligations and you agree\n with us storing your payment information. You understand\n that there may be fees and taxes that could be added to our\n prices. Nuleep, Inc. does not guarantee refunds. Please\n email us at info@Nuleep, Inc. .com for any refund requests.\n If you buy any of our paid Services (“Premium Services”),\n you agree to pay us the applicable fees and taxes and to\n additional terms specific to the paid Services. Failure to\n pay these fees will result in the termination of your paid\n Premium Services. Your purchase of Premium Services may be\n subject to foreign exchange fees or differences in prices\n based on location. We may store and continue billing your\n payment method (e.g. credit card/debit card) even after it\n has expired, to avoid interruptions in your Services and to\n use to pay for your other Premium Services you may buy.\n
\n \n If you purchase a subscription, your payment method\n automatically will be charged at the start of each\n subscription period for the fees and taxes applicable to\n that period. To avoid future charges, cancel before the\n renewal date. Contact us at info@Nuleep, Inc. .com to cancel\n or suspend your Premium Services. It will take 5-7 business\n days for cancellations. All purchases of Premium Services\n are subject to Nuleep, Inc. ’s refund policy.\n
\n \n Nuleep, Inc. may calculate applicable taxes payable by you\n based on the billing information that you provide to us at\n the time of your purchase of Premium Services.\n
\n \n Invoices and Billing Information will be stored under\n Billing or Purchase History.\n
\n\n Messaging and Communication
\n \n The Services may contain bulletin board services, chat\n areas, new groups, forums, communities, personal profiles,\n personal web pages, calendars, and/or other message or\n communication facilities designed to enable you to\n communicate with the public at large or with a group or with\n a recruiter or with another user (collectively,\n “Communication Services”). You agree to use the\n Communication Services only to post, send, receive messages\n and material that are proper and related to particular\n Communication Service.\n

However, Nuleep, Inc. reserves the right to review\n materials posted to a Communication Services and to remove\n any materials in its sole discretion. Nuleep, Inc. reserves\n the right to terminate your access to any or all of the\n Communication Services at any time without notice for any\n reason whatsoever.\n
\n \n Nuleep, Inc. reserves the right at all times to disclose any\n information as necessary to satisfy any applicable law,\n regulations, legal process, or governmental request, or to\n edit, refuse to post or to remove any information or\n materials, in whole or in part, in Nuleep, Inc. ’s sole\n discretion.\n

\n \n No compensation will be paid with respect to the use of your\n Submission, as provided here. Nuleep, Inc. is under no\n obligation to post or use any Submission you may provide and\n may remove any Submission at any time in Nuleep, Inc. ’s\n sole discretion.\n

\n \n When you share information on the Services, others can see,\n copy and use that information and your Submission. Nuleep,\n Inc. Services allow messaging and sharing of information in\n many ways such as your profile, resume, photos, and other\n content. Other users may see or have access to your\n Submission that you share.\n

You acknowledge and grant Nuleep, Inc. a\n non-exclusive license to all the personal information and\n content you provide. Nuleep, Inc. honors the choices you\n make about who gets to see your information and content,\n including how it can be used for ads. You grant us a\n worldwide, transferable, sublicensable right to use, copy,\n modify, publish, and distribute all information and content\n you provide through the Services, third party providers, and\n without any further consent, notice and/or compensation to\n you or others.\n

You agree to only provide\n information and content that you have the right to share and\n that your information and profile will be truthful and\n accurate. You agree to only provide\n content/information/feedback that does not violate the law\n nor anyone’s rights including intellectual property rights.\n You agree that your profile information and content you\n provide will be truthful. Nuleep, Inc. may be required by\n law to remove certain information or content in accordance\n with legal requirements.\n
\n Service Availability
\n \n We may change, suspend or end any Service, or change and\n modify prices prospectively in our discretion. To the extent\n allowed under law, these changes may be effective upon\n notice to you. We may change or discontinue any of our\n Services. We do not promise to store or keep showing any\n information and/or content that you have posted.\n
\n \n Nuleep, Inc. is not a storage service. You agree that we\n have no obligation to store, maintain or provide you a copy\n of any content or information that you or others provide,\n except to the extent required by applicable law and as noted\n in our{' '}\n Privacy Policy.\n

\n \n Nuleep, Inc. Services includes third party services and\n content. Other content,\n services, apps, sites, third party providers, and\n information may offer their own products and services\n through the Services and Nuleep, Inc. is not responsible for\n those third-party activities.\n

\n \n By using the other content, services, apps, sites, third\n party providers, and information, you acknowledge that\n Nuleep, Inc. provides these links only as a convenience and\n is not responsible for the content, products, or services on\n or available from those websites, resources, links, apps,\n displayed on such websites or apps. To the extent permitted\n under applicable law, you acknowledge sole responsibility\n for and assume all risks arising from, your usage of any\n other content, services, apps, sites, third party providers,\n information, and resources.\n

\n \n MANIPULATING, HACKING, DISRUPTING, INTERFERING AND\n UNDERMINING THE LEGITIMATE OPERATION OF ANY SITE OR APP, IS\n A BREACH OF NULEEP, INC.'S TERMS AND MAY BE A BREACH OR\n VIOLATION OF CRIMINAL AND/OR CIVIL LAWS.\n
\n Limits
\n \n Nuleep, Inc. has the right to limit how you connect and\n interact on the Services. Nuleep, Inc. reserves the right to\n limit your use of the Services and to restrict, suspend,\n terminate your account if Nuleep, Inc. believes that you may\n be in breach of the Terms or law or are misusing the\n Services.\n
\n Intellectual Property
\n \n You are granted a non-exclusive, non-transferable, revocable\n license to access and use Nuleep, Inc. strictly in\n accordance with these terms of use. As a condition of your\n use of the Services, you warrant to Nuleep, Inc. that you\n will not use the Services for any purpose that is unlawful\n or prohibited by these Terms. You may not use the Services\n in any manner which could damage, disable, overburden, or\n impair the Site or interfere with any other party’s use and\n enjoyment of the Site. You may not obtain or attempt to\n obtain any materials or information through any means not\n intentionally made available or provided for through the\n Services.\n

Nuleep, Inc. content is not for resale. You will use\n protected content solely for your personal use, and will\n make no other use of the content without the express written\n permission of Nuleep, Inc. and the copywrite owner. You\n agree you that you do not acquire any ownership rights in\n any protected content. We do not grant you any licenses,\n express or implied, to the intellectual property of Nuleep,\n Inc. or our licensors except as expressly authorized by\n these Terms.\n
\n General Terms
\n \n If a court with authority over this Terms of Service finds\n any part of it unenforceable, you and Nuleep, Inc. agree\n that the court should modify the terms to make that part\n enforceable while still achieving its intent. If the court\n cannot do that, you and Nuleep, Inc. agree to ask the court\n to remove the unenforceable part and still enforce the rest\n of this agreement.\n
\n \n To the extent allowed by the English language version of\n this Terms of Use agreement (“Agreement”) is binding and\n other translations are for convenience only. This Agreement\n including additional terms that may be provided by Premium\n Services or third party providers is the only agreement\n between us regarding the Services and supersedes all prior\n agreements for the Services.\n
\n \n If we don't act to enforce a breach of this Agreement, that\n does not mean that Nuleep, Inc. has waived its right to\n enforce this Agreement. You may not assign or transfer this\n Agreement, your signup or usage of the Services to anyone\n without our consent. However, you agree that Nuleep, Inc.\n may assign this Agreement to its affiliates or a party that\n buys it without your consent. There are no third-party\n beneficiaries to this Agreement.\n
\n \n You agree that the only way to provide us legal notice is at\n the address provided in Section 25.\n
\n International Users
\n \n The Service is controlled, operated, and administered by\n Nuleep, Inc. from our offices within the USA. If you access\n the Service from a location outside the USA, you are\n responsible for compliance with all local laws. You agree\n that you will not use the Service, APPs, platform, and\n content accessed through Nuleep, Inc. in any country or in\n any manner prohibited by any applicable laws, restrictions,\n or regulations.\n
\n Indemnification
\n \n You agree to indemnify, defend, and hold harmless Nuleep,\n Inc. , its officers, directors, employees, agents, and third\n parties, for any losses, costs, liabilities, and expenses\n (including reasonable attorney’s fees) relating to or\n arising out of your use of or inability to use the Site or\n services, any user postings made by you, your violation of\n any terms of this Agreement or your violation of any rights\n of a third party, or your violation of any applicable laws,\n rules or regulations. Nuleep, Inc. reserves the right, at\n its own cost, to assume the exclusive defense and control of\n any matter otherwise subject to indemnification by you, in\n which event you will fully cooperate with Nuleep, Inc. in\n asserting any available defenses.\n
\n Arbitration
\n \n In the event the parties are not able to resolve any dispute\n between them arising out of or concerning these Terms and\n Conditions, or any provision hereof, whether in contract,\n tort, or otherwise at law or in equity for damages or any\n other relief, then such dispute shall be resolved only by\n final and binding arbitration pursuant to the Federal\n Arbitration Act, conducted by a single neutral arbitrator\n and administered by the American Arbitration Associate, or a\n similar arbitration service selected by the parties, in a\n location mutually agreed upon by the parties.\n
\n \n YOU AGREE THAT DISPUTES BETWEEN YOU AND NULEEP, INC. WILL BE\n RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND YOU ARE\n WAIVING YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A\n PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR\n REPRESENTATIVE PROCEEDING.\n
\n \n The arbitration will be administered by the American\n Arbitration Association (\"AAA\") in accordance with the\n Commercial Arbitration Rules and the Supplementary\n Procedures for Consumer-Related Disputes (the “AAA Rules”)\n then in effect, except as modified by this “Dispute\n Resolution” section. (The AAA Rules are available at\n https://www.adr.org/Rules or by calling the AAA at\n 1-800-778-7879.) The Federal Arbitration Act will govern the\n interpretation and enforcement of this Section.\n
\n Class Action Waiver
\n \n Any arbitration under these Terms and Conditions will take\n place on an individual basis; class arbitrations and\n class/representative/collective actions are not permitted.\n THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE\n OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A\n PLAINTIFF OR CLASS MEMBER IN ANY PUNITATIVE CLASS,\n COLLECTIVE AND/OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE\n FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER.\n
\n \n Further, unless both you and Nuleep, Inc. agree otherwise,\n the arbitrator may not consolidate more than one person’s\n claims, and may not otherwise preside over any form of a\n representative or class proceeding.\n

\n \n THE INFORMATION, SOFTWARE, APP, PLATFORM, PRODUCTS, AND\n SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SERVICES MAY\n INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE\n PERIODICALLY ADDED TO THE INFORMATION HEREIN. NULEEP, INC.\n AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN\n THE SERVICES AT ANY TIME.\n
\n \n NULEEP, INC. AND/OR ITS THIRD PARTY PROVIDERS, AFFILIATES,\n AND ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE\n SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND\n ACCURACY OF THE INFORMATION, SOFTWARE, APP, PLATFORM,\n PRODUCTS, SERVICES, AND RELATED GRAPHICS CONTAINED ON THE\n SERVICES FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY\n APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, APP,\n PLATFORM, PRODUCTS, SERVICES, AND RELATED GRAPHICS ARE\n PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITIONS OF ANY KIND.\n NULEEP, INC. AND/OR ITS THIRD PARTY PROVIDERS, AFFILIATES,\n AND SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS\n WITH REGARD TO THIS INFORMATION, SOFTWARE, APP, PLATFORM,\n PRODUCTS, SERVICES, AND RELATED GRAPHICS, INCLUDING ALL\n IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS\n FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.\n
